1. Scope
These terms and conditions apply to all contracts concluded through websites, portals, order pages or other online offerings of MDH Group.
MDH Group offers, in particular, digital products, software, WordPress plugins, online portals, licensing models, subscriptions, trial access, digital content and supplementary services.
These terms apply to consumers and businesses unless different arrangements have been expressly agreed in an individual case.
A consumer is a natural person entering into a legal transaction for purposes predominantly outside their trade, business or profession.
A business is a natural or legal person, or a partnership with legal capacity, acting in the course of its trade, business or independent professional activity when entering into a legal transaction.
2. Provider and contracting party
The contracting party is:
- MDH Group
- Proprietor: Carsten Emde
- Holunderweg 8
- 26209 Hatten
- Germany
Email: service@mdh-group.de Website: https://mdh-group.de
Further information is provided in the legal notice of the relevant website.
3. Subject matter of the contract
MDH Group offers digital products and services. These may include, in particular:
- WordPress plugins
- self-installable software
- online portals
- licensed access
- subscriptions
- digital content
- templates
- automation tools
- AI-assisted features
- support and maintenance services, where expressly agreed
The specific scope of services is set out in the relevant product description, order page, service overview or licence description.
MDH Group owes only the features expressly described. No particular commercial success, rankings, visibility, revenue or reach is guaranteed unless expressly agreed in writing.
4. Conclusion of the contract
The presentation of products on websites, landing pages or portals is not a legally binding offer but an invitation to place an order.
The customer submits a binding offer by completing the order process and initiating payment or ordering paid access.
The contract is concluded when MDH Group confirms the order, activates access, provides a download or payment has been successfully processed.
In automated payment or licensing systems, confirmation may be provided immediately by email or through the portal.
5. Prices and payment
The prices displayed at the time of ordering apply.
Unless stated otherwise, prices include statutory VAT or are subject to statutory VAT as indicated in the relevant listing.
Payment is made using the methods offered on the relevant order page. These may include Stripe, credit card, SEPA, PayPal or other payment providers.
For subscriptions, the agreed amount becomes due recurrently for each billing period unless the subscription is cancelled in time.
6. Trials and trial access
Where a trial is offered, its duration and price are governed by the relevant product description.
Depending on the product description, trial access may automatically become a paid subscription if the customer does not cancel in time and this was transparently stated during ordering.
MDH Group may impose technical limits on trials, including duration, features, projects, generated content or usage operations.
7. Subscriptions and cancellation
Subscriptions run for the agreed billing period.
Unless stated otherwise, a subscription renews automatically for the selected billing period if it is not cancelled before expiry.
Cancellation is available through the customer portal, by email or through another cancellation function provided.
Amounts already paid for current billing periods are not refunded pro rata unless statutory rights require otherwise.
8. Delivery of digital products
Depending on the product type, digital products are provided through:
- download link
- licence key
- customer portal
- user account
- installation package
- activation within software or a plugin
The customer must keep access credentials confidential and protect them against unauthorised access.
9. Licences and rights of use
The customer receives a non-exclusive, non-transferable right to use the relevant software or digital product.
The precise licence scope is set out in the product description or licence overview.
Redistribution, sublicensing, public provision, reproduction beyond the contractually permitted scope, decompilation or modification of the software is prohibited unless legally permitted or expressly authorised.
Where licences limit domains, projects, users or installations, use is permitted only within the agreed scope.
10. Customer obligations
The customer is responsible for ensuring that their technical environment meets the requirements for use.
These may include, in particular:
- suitable web hosting
- an up-to-date WordPress installation, where required
- a compatible PHP version
- a database
- your own API keys
- your own third-party credentials
- proper installation
- regular backups
- lawful content
The customer is responsible for content they create, publish or process using the products.
11. Third parties and interfaces
Some MDH Group products may use third-party services or interfaces, such as payment, AI, analytics, search engine, indexing, social media or email services.
The availability, prices, terms and technical changes of third-party providers are outside MDH Group's control.
The customer is responsible for setting up their own third-party access, API keys or accounts where required for use.
12. Support and updates
Support and updates are owed only if included in the relevant offer.
MDH Group may provide updates to improve features, fix errors or make technical adjustments.
There is no entitlement to specific new features unless expressly agreed.
13. Availability
MDH Group strives to provide its digital offerings with as little disruption as possible.
For self-installable software, availability depends largely on the customer's technical environment.
Maintenance, updates, technical faults, third-party issues or force majeure may cause limitations.
14. Content, AI features and results
Where products include AI-assisted features, content is generated automatically or partly automatically.
Before publication, the customer must review automatically generated content, especially for accuracy, lawfulness, trademark and copyright rights, competition law, privacy, industry requirements and professional suitability.
MDH Group does not guarantee that automatically generated content is always error-free, complete, up to date, legally compliant or commercially successful.
15. Consumers' right of withdrawal
Consumers generally have a statutory right of withdrawal for distance contracts.
Details are provided in the separate withdrawal information.
For digital content or services, the right of withdrawal may expire early under statutory conditions if the consumer expressly agrees to performance starting before the withdrawal period ends and acknowledges the possible loss of that right.
Where a statutory right of withdrawal exists, MDH Group provides an electronic withdrawal function.
16. Electronic withdrawal function
Consumers may withdraw from a contract using the electronic withdrawal function provided where a statutory right exists.
The function is accessible through a suitably labelled link or button, such as “Withdraw from contract”.
After submitting the withdrawal, the customer receives an electronic acknowledgement of receipt.
17. Warranty
Statutory warranty rights apply.
For business customers, the limitation period for warranty claims is one year where legally permitted.
Warranty does not cover defects caused by improper installation, incompatible systems, customer changes, third parties, outdated software environments or unsupported server configurations.
18. Liability
MDH Group has unlimited liability for intent, gross negligence and injury to life, body or health.
For ordinary negligence, MDH Group is liable only for breaches of essential contractual obligations. Liability is then limited to foreseeable damage typical of the contract.
Liability for lost profit, absent rankings, visibility or revenue, data loss without proper backups, or indirect damage is excluded where legally permitted.
19. Backups
The customer must make sufficient backups before installing, updating or using software.
This applies especially to WordPress plugins, themes, database changes, imports, automation and publishing functions.
20. Privacy
Personal data is processed in accordance with MDH Group's privacy policy.
21. Changes to the terms
MDH Group may amend these terms where necessary due to changes in legislation, technical developments, new products or changed business processes.
For existing contracts, changes apply only if validly incorporated.
22. Dispute resolution
MDH Group is neither obliged nor willing to participate in dispute resolution before a consumer arbitration body unless required by law.
23. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
If the customer is a merchant, a legal entity under public law or a special fund under public law, jurisdiction lies at MDH Group's registered office.
If any provision is or becomes invalid, the remaining provisions remain effective.
